Definitions
"TTP" means RWABTC Ltd Co, a Texas limited liability company, doing business as The Token Playbook, its officers, directors, managers, members, employees, contractors, agents, licensors, successors, and assigns.
"Platform" means the website at tokenplaybook.com, including all subdomains, APIs, newsletters, digest emails, subscriber portals, and any other digital properties operated by TTP.
"Content" means all text, data, analysis, research, newsletters, reports, charts, graphics, images, audio, video, interactive features, sponsor materials, and any other information made available through the Platform.
"Subscriber" means any individual or entity registered for Platform access. Subscriber types include: Free Subscriber (registered, no payment), Pro Subscriber (paid, full access), Founding Subscriber (early founding-tier access), and Sponsor (entity with a separate sponsorship agreement).
"Authorized User" means the single natural person who is the registered account holder. Each account is individual, non-transferable, and may be used only by the Authorized User named at registration.
"Agentic Tools" means any AI features, conversational interfaces, or automated advisory features available on the Platform, including The Advisor.
"Contributed Data" means all data generated by or arising from a Subscriber's interaction with the Platform, including reading behavior, session data, search queries, form submissions, interactions with Agentic Tools, and any other information submitted to or generated through the Platform.
"Effective Date" means the date the Subscriber first accepts this Agreement, registers for an account, or first accesses or uses the Platform, whichever is earliest.
Subscription, Access & Account Terms
2.1 Grant of License. Subject to the terms herein and timely payment of applicable fees, TTP grants Subscriber a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Content solely for the Subscriber's own personal, non-commercial informational purposes.
2.2 One Account Per Person; Non-Transferability.
- Each subscription and account is issued to a single natural person only. Corporate or team subscriptions require a separate written enterprise agreement.
- Subscriptions and accounts are strictly non-transferable.
- Login sharing is expressly and absolutely prohibited. A Subscriber may not share account credentials with any other person for any reason.
- TTP may monitor access patterns and suspend or terminate accounts showing evidence of credential sharing.
2.3 Prohibition on Automated Account Creation. Account creation through bots, scripts, AI agents, browser automation, or any non-human mechanism is a material breach of this Agreement. TTP employs CAPTCHA and behavioral analysis to detect and block automated registration.
2.4 Biometric Authentication. TTP may require biometric verification (facial recognition, fingerprint, liveness detection) as a condition of access. By continuing to use the Platform after biometric features are introduced, Subscriber expressly consents to collection and processing of biometric data for identity verification and fraud prevention, consistent with the Texas CUBI Act and our Privacy Policy.
2.5 Account Security. Subscribers are responsible for maintaining the confidentiality of their credentials. Report unauthorized access immediately to [email protected].
2.6 Age Requirement. The Platform is intended solely for individuals aged 18 and older.
Prohibited Uses
The following uses of the Platform and Content are expressly prohibited:
- Automated data extraction. Using any spider, crawler, scraper, bot, harvester, extraction tool, API aggregator, or automated browser to access, collect, copy, or index any Content or data from the Platform.
- AI training and model development. Using any Content, Contributed Data, or Platform outputs to train, fine-tune, adapt, distill, evaluate, benchmark, or otherwise develop any AI model, machine learning model, large language model, neural network, or similar system, whether for commercial or non-commercial purposes.
- Code generation via Agentic Tools. Using The Advisor or any other Agentic Tool to generate, write, suggest, deploy, inject, or execute code of any kind — including software code, smart contracts, API scripts, shell commands, or automation scripts. Agentic Tools are licensed for informational and analytical use only.
- Redistribution and resale. Reproducing, republishing, retransmitting, distributing, sublicensing, reselling, or otherwise making Content available to any third party without TTP's prior written consent.
- Competitive intelligence gathering. Accessing the Platform for the purpose of gathering intelligence to design, develop, market, or launch a competing service, or to benchmark TTP's methods, pricing, or content strategy.
- Account and credential sharing. Sharing, lending, selling, or otherwise transferring account credentials or access to any other person or entity.
- Circumvention of access controls. Attempting to circumvent any technical protection measure, CAPTCHA, rate limit, robots.txt directive, or access control.
- Impersonation and fraud. Impersonating any person or entity, providing false registration information, or misrepresenting identity, professional affiliation, or status.
- Platform interference. Imposing unreasonable load on Platform infrastructure; probing, scanning, or testing system vulnerabilities; or introducing malware or disruptive code.
- Illegal use. Using the Platform for any purpose that violates applicable federal, state, or local law or regulation.
Data Ownership & License
4.1 TTP Ownership. TTP and its licensors retain all right, title, and interest in and to the Platform, all Content, and all intellectual property rights therein. No ownership interest in the Platform or Content is transferred to any Subscriber.
4.2 Contributed Data — Assignment of Ownership.
Each Subscriber irrevocably assigns to RWABTC Ltd Co all right, title, and interest in and to all Contributed Data, including all intellectual property rights therein, throughout the universe, in perpetuity.
4.3 Sponsor IP Exception. Sponsor logos, trademarks, and advertising creative materials submitted pursuant to a Sponsor Agreement remain the property of the contributing Sponsor. Section 4.2 does not apply to Sponsor intellectual property.
4.4 License to Use Contributed Data. In addition to TTP's ownership under Section 4.2, each Subscriber grants TTP a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, adapt, modify, translate, distribute, and otherwise exploit Contributed Data for any lawful purpose, including: improving or training TTP's internal AI models; personalizing Content; market research and trend analysis; and product development. This license survives termination of this Agreement.
4.5 No Compensation. TTP has no obligation to compensate any Subscriber for Contributed Data or TTP's use thereof. Platform access is the sole consideration for submission of Contributed Data.
Financial & Regulatory Disclaimer
5.1 TTP is an independent media and intelligence publishing platform. TTP is not a registered investment adviser, broker-dealer, attorney, accountant, or compliance professional under any applicable law.
5.2 Sponsored Content. The appearance of any advertisement, sponsor listing, or sponsor-identified Content does not constitute a recommendation, endorsement, or validation by TTP of the sponsor's products, services, claims, or suitability for any purpose. Sponsors pay TTP for placement; such commercial relationships do not imply TTP's endorsement.
5.3 Accuracy. Regulatory, legal, and compliance information is subject to change at any time without notice. Digital asset regulatory frameworks are rapidly evolving. TTP makes no warranty that Content reflects current law or regulation.
5.4 Consult Professionals. Subscribers must consult with a qualified attorney, financial adviser, tax professional, or compliance officer before taking any action in reliance on Content, including making investment decisions, taking regulatory compliance actions, or entering into any transaction involving digital assets or tokenized securities.
5.5 Reliance at Own Risk. Any action taken in reliance on Content is taken entirely at the Subscriber's own risk. TTP disclaims all responsibility for any consequence of such reliance.
Limitation of Liability
6.3 No Liability for Content Accuracy. TTP has no liability for: (a) accuracy, completeness, or timeliness of Content; (b) Sponsor Content or third-party materials; (c) regulatory developments after publication; (d) inaccuracies arising from reliance on third-party sources; or (e) outputs generated by Agentic Tools, including inaccurate, misleading, or inapplicable outputs.
6.4 Express Release. Each Subscriber releases TTP and its officers, directors, employees, agents, and assigns from any and all claims arising from: editorial Content; Sponsor Content; third-party information sources; any action taken in reliance on Content; or any Agentic Tool output.
Sponsor & Advertiser Terms
7.1 Labeling. All Sponsor Content will be clearly labeled as "Sponsored," "Paid Partnership," or equivalent disclosure as required by applicable law and FTC guidelines.
7.2 Editorial Independence. Sponsors have no right to direct, control, review, approve, or otherwise influence TTP's independent editorial Content. Sponsored and editorial content are maintained as distinct.
7.3 Sponsor Responsibility. All representations in Sponsor Content are solely the responsibility of the applicable Sponsor. TTP does not independently verify the accuracy or regulatory compliance of Sponsor Content and makes no warranty as to the accuracy or reliability of any Sponsor Content.
7.4 No Endorsement. TTP's publication of Sponsor Content shall not be construed as an endorsement, recommendation, approval, or certification of the Sponsor or its products, services, or regulatory standing.
AI & Agentic Features
8.1 "As Is" Provision. All Agentic Tools, including The Advisor, are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind. TTP makes no representation that outputs will be accurate, complete, current, reliable, or fit for any particular purpose.
8.2 Not Professional Advice. Outputs generated by Agentic Tools do not constitute legal, regulatory, investment, tax, compliance, or any other professional advice under any circumstances. AI outputs are generative and probabilistic; they may contain hallucinations, factual errors, or outdated information. Subscribers must not rely on Agentic Tool outputs without independent verification by a qualified professional.
8.3 Express Prohibition on Code Generation. Subscribers are expressly prohibited from using any Agentic Tool to generate, write, produce, suggest, review, test, deploy, or execute code of any kind, including software code, smart contracts, shell scripts, automation scripts, API integration code, or deployable configuration files. Subscribers who use Agentic Tools in violation of this prohibition do so entirely at their own risk.
8.4 Monitoring. TTP reserves the right, but has no obligation, to monitor, filter, log, or restrict inputs to and outputs from Agentic Tools.
8.5 No Professional Relationship. Access to Agentic Tools does not create an attorney-client, financial adviser-client, or any other professional advisory relationship.
Acceptable Use Policy
9.1 Affirmative Obligations. Each Subscriber represents, warrants, and covenants that: (a) all information provided during registration is truthful, accurate, current, and complete; (b) Subscriber will use the Platform only in a lawful manner; and (c) Subscriber will promptly update account information if any information changes.
9.2 Prohibitions on Misrepresentation. Subscribers may not impersonate any person or entity; provide false or misleading information to obtain access to a higher subscription tier or bypass access controls; or misrepresent identity or professional affiliation in any Platform communication.
9.3 Platform Integrity. Subscribers may not impose unreasonable load on Platform infrastructure; probe or test system vulnerabilities; or attempt to access data or accounts not intended for such Subscriber.
Term & Termination
10.1 Term. This Agreement commences on the Effective Date and continues until terminated.
10.2 Termination by Subscriber. Subscriber may terminate by canceling their account and ceasing all Platform use.
10.3 Immediate Termination for Cause. TTP may terminate this Agreement and Subscriber's account immediately, without notice and without refund, upon TTP's determination that the Subscriber has: violated any provision of Section 3 (Prohibited Uses); engaged in fraud, deception, or illegal activity; shared or misused account credentials; circumvented any technical protection measure; or used the Platform for competitive intelligence in violation of Section 3.6.
10.4 Termination Without Cause. TTP may terminate without cause upon 30 days' written notice. In such event, TTP will refund a pro-rata portion of prepaid subscription fees for the period following the effective date of termination.
10.5 Effect of Termination. Upon termination: the license granted in Section 2.1 immediately terminates; Subscriber must cease all Platform access; and Sections 1, 4, 5, 6, 8.5, 10.5, 11, 12, and 13 survive and remain in full force and effect indefinitely.
Modifications to This Agreement
11.1 Right to Modify. TTP reserves the right to modify this Agreement at any time, in its sole discretion. Changes may include subscription terms, pricing, prohibited uses, or data ownership provisions.
11.2 Notice. TTP will provide notice of material changes by: (a) posting the updated Agreement with a revised Effective Date; (b) emailing the address on file; or (c) displaying an in-platform notice.
11.3 Acceptance by Continued Use. Continued access to or use of the Platform following posting of any modification constitutes binding acceptance of the modified Agreement. If you do not agree to any modification, your sole remedy is to cease all Platform use and close your account.

Governing Law & Dispute Resolution
12.1 Governing Law. This Agreement is governed by the laws of the State of Texas, without giving effect to any conflict of law principles.
12.2 Informal Resolution. Before initiating formal proceedings, parties agree to attempt informal resolution. Subscriber must provide written notice of the dispute to [email protected]. Parties shall attempt in good faith to resolve within 30 days of TTP's receipt of notice.
12.3 Mandatory Arbitration. Claims where the amount in controversy is under $10,000 must be resolved by binding arbitration administered by the AAA under its Consumer Arbitration Rules. The arbitrator's award is final and binding.
12.4 Venue. For court proceedings, each party submits to the exclusive jurisdiction of state and federal courts in Travis County, Texas.
12.6 Time Limitation. Any claim arising out of or related to this Agreement must be filed within one (1) year after the claim arose or it shall be forever barred.
Miscellaneous
13.1 Entire Agreement. This Agreement, together with TTP's Privacy Policy and any applicable Sponsor Agreement, constitutes the entire agreement between TTP and Subscriber and supersedes all prior agreements with respect to the subject matter hereof.
13.2 Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed, without affecting the remaining provisions.
13.3 No Waiver. No failure or delay by TTP in exercising any right shall operate as a waiver. No waiver is effective unless in writing and signed by an authorized officer of TTP.
13.4 Force Majeure. TTP is not liable for delays or failures caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, cyberattacks, government orders, power failures, or internet outages.
13.5 Assignment. TTP may assign this Agreement at any time, including in connection with a merger, acquisition, or sale of assets. Subscriber may not assign without TTP's prior written consent.
13.6 Notices. Notices to TTP must be sent to [email protected] or by certified mail to RWABTC Ltd Co, Austin, TX 78746.
13.7 Relationship of Parties. Nothing in this Agreement creates a partnership, joint venture, agency, employment, or fiduciary relationship between TTP and any Subscriber.
13.8 Export Compliance. Subscribers represent that they are not located in a U.S.-embargoed country and agree to comply with all applicable export control laws.
